We advise business owners on the formation of their businesses, whether sole proprietorships, partnerships, corporations, or limited liability companies. We prepare the necessary documents to create and govern the business organization—articles of incorporation or organization, bylaws, minutes, S corporation election, etc. If there is more than one business owner, we will assist the owners in developing a shareholder control agreement or buy-sell agreement. Once the business is operating, we continue to work with the owner on issues that arise, such as developing contracts for use in the business and dealing with employment issues. If the business owner wants to sell the business or buy another one, we’re experienced in representing buyers and sellers and will help the business owner structure and complete the transaction.
